KEY RESPONSIBILITES
Operational Responsibilities
Secretarial
Filing, registering any document including forms, returns and
applications by and on behalf of the company as an authorized
representative.
Maintenance of secretarial records, statutory books and registers.
Arranging Meetings of the Board or its Committees and Shareholders and
preparing agenda & minutes thereof.
All work relating to shares and their transfer and transmission,
Promotion, formation and incorporation of subsidiary/affiliate
companies under different geographic jurisdictions and matters related
therewith.
Advising on good governance practices and compliance of Corporate
Governance norms as prescribed under various Corporate, Securities and
Other Business Laws and regulations and guidelines made there under.
Act as a compliance officer, handling matter related to company
affairs, secretarial/legal affairs, drafting/vetting of agreement.
Drafting resolutions, Convening Board of Directors and General Meeting
reporting, Drafting, review & negotiation of Contracts, Drafting,
review of policies & procedures
Ensure secretarial and legal compliance under Companies Act, Filing with ROC etc
Liaison with statutory authorities, advice on Company law matters.
Monitor all secretarial works from minutes agenda, filing of returns
and maintenance of records
Signing of Annual Return & Other declaration, attestations and
certifications under the Companies Act.
Liaison with external authorities, Municipal Corporation & security agencies.
Responsible for maintaining departmental SOPs and ensuring
implementation of the same.
Due diligence for IPO.
Contracts Management & Administration
Drafting & finalization of all types of contracts.
To identify potential risks in contracts and provide recommendations
and alternatives to mitigate such risks from legal perspective.
Providing active legal support in Corporate and Functional initiatives.
Drafting and vetting of commercial / non-commercial contracts like :
Non-Discloser Agreement
Master Services Agreement
License and Maintenance Agreement
Teaming and partnership agreement
Memorandum of Understanding
Vendor Agreement
HR Consulting Agreement
Compliances
To ensure the registrations required and the compliances required for
the company under all the applicable laws.
To ensure the legal compliance for the subsidiary companies under the
applicable laws of the respective jurisdiction and work closely with
the respective CPAs/counsels of the regions.
Litigation
To represent the company before various statutory bodies.
To work with the external legal counsels to protect the interest of
the company in the event of any legal dispute raised against the
company.
-Qualification: CS ( Must ) & LLB ( Desirable )
Experience: 15-20 years with strong & credible CS background in pref.
Large & organized Operations setup.
MUST have worked in listed companies.
He / She will have to handle entire compliances & organizing and
documenting "Minutes of Meetings" of Board meetingsof the Company.
Will have to handle both listed and unlisted companies.
Should have strong interpersonal skills & Liasion skills.
